Trading Strategy Validator Commercial License 1.0 Effective date: 2026-10-30 Copyright (c) 2026 werim. All rights reserved except as expressly granted below. 1. Parties and covered materials "Licensor" means the rights holder operating the GitHub account "werim" and maintaining werim/trading-strategy-validator. "You" means the individual or single legal entity acquiring a copy directly from Licensor or an expressly authorized seller. "Materials" means the supplied code, skill instructions, documentation and synthetic examples covered by this license. This is a proprietary commercial license, not an open-source license. 2. Authorized acquisition and grant Subject to these terms and payment of any price agreed at acquisition (if applicable), Licensor grants You a non-exclusive, worldwide, perpetual license to use, run, copy for backup and internal deployment, inspect and modify the acquired version for Your own personal or internal business purposes. No additional seat or device limit is imposed by this license. Employees and contractors may use it solely on Your behalf, under Your control and subject to equivalent restrictions; You remain responsible for their compliance. Mere access to a repository or an unauthorized copy grants no license. You may use the Materials in paid consulting and evidence-review work and share the resulting reports with clients. This does not permit transferring the Materials themselves or operating a service that gives third parties access to the software's functionality without a separate written grant. 3. Redistribution and retained ownership You may not sell, sublicense, rent, publish, redistribute or otherwise make the Materials or modified versions available to third parties, including in software bundles, skill libraries, marketplaces or hosted services, without Licensor's separate express written permission. This restriction does not limit mandatory rights under applicable law. Preserve this license and copyright notices in all permitted copies; mark Your modifications clearly. All rights not expressly granted are reserved. No copyright ownership, trademark right, exclusivity or right to future versions is transferred. Licensor retains the right to distribute, sell and license the Materials. 4. Customer data and reports You retain Your rights in Your inputs and reports. Licensor claims no rights in customer data or factual metric results merely because the Materials processed them. This license grants no rights in third-party data or assets. You are responsible for obtaining permission to use inputs and for choosing whether to submit them to an external agent provider. The engine works offline; using an agent may involve that provider's separate terms. 5. Scope, support and warranties The Materials audit supported, supplied closed linear round trips in one accounting currency. They do not authenticate sources, establish dataset completeness, assess strategy quality, provide investment advice, guarantee profits or approve live trading. Missing evidence remains unassessed. No support, updates, maintenance or service level is promised unless separately agreed in writing. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MATERIALS ARE PROVIDED "AS IS", WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. TO THAT SAME EXTENT, LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA OR TRADING LOSSES ARISING FROM USE OF THE MATERIALS. NO TERM EXCLUDES LIABILITY OR A CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED. 6. Breach and applicable rights If You materially breach these terms, Licensor may terminate Your license by written notice if You fail to cure the breach within 30 days of receiving notice. On termination, stop using and delete the Materials and modified copies, except copies that must be retained by law. Previously generated reports and Your rights in Your data are unaffected. Mandatory statutory rights and exceptions remain unaffected. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. This license governs the acquired version; a later license change does not retroactively alter an existing grant. A separate written agreement expressly agreed by Licensor and You may vary these terms. 7. Platforms and third parties A platform's terms, including Agensi's, do not override these terms or grant redistribution rights in upstream material. Licensor or an authorized seller must separately authorize any required distribution. A third-party component with its own notice remains subject to its own terms; this license cannot grant rights Licensor does not hold.
